The www.betapharmacy.ca web site (the “Web Site”) is owned and operated by Beta Pharmacy. In these Terms & Conditions, “Beta Pharmacy,” “we,” “us,” and “our” refer to Beta Pharmacy.

Beta Pharmacy provides you access to and use of this Site subject to your compliance with these terms and conditions of use (the “Site Terms”).

By accessing, browsing, or using this Site, you agree to be bound by these Site Terms and all applicable law. If you do not have the authority to agree to these Site Terms, or do not agree with any part of them, you may not use this Site.

Related Policies and Terms

Additional policies and terms apply to use of specific portions of this Site and to the purchase of certain merchandise or services, and are incorporated into and form part of the Site Terms. Please review all applicable additional terms and conditions.

Beta Pharmacy has adopted a Privacy Policy that explains how we use, collect, and disclose information, available in the Privacy Policy section of the Site.

The Site Terms apply exclusively to your access to and use of this Site and do not alter any other agreement you may have with Beta Pharmacy for products, services, or otherwise.

Modification of Site Terms

Beta Pharmacy reserves the right, in its sole discretion, to modify these Site Terms at any time, for any reason, and without prior notice to you. If the Site Terms are changed, we will post the revised terms on the Site and update the date they were last updated. Any changes take effect immediately upon posting, and your continued use of the Site following posting constitutes your binding acceptance of the revised Site Terms. It is your responsibility to review the Site Terms periodically.

Canadian Usage

This Site is intended for use by residents of Canada to order goods or services for delivery to addresses within Canada, subject to any additional restrictions we may impose based on your province or territory of residence. Use of this Site is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. The laws of your jurisdiction may be more or less strict than the laws that apply to this Site. If you access this Site from outside Canada, you do so at your own risk and are solely responsible for compliance with the laws of your jurisdiction.

License and Site Access

Beta Pharmacy grants you a limited, revocable license to make personal, non-commercial use only of the Site. This grant does not include, without limitation: (a) any resale or commercial use of this Site or any Site Materials (defined below); (b) modification, adaptation, translation, reverse engineering, decompilation, disassembly, or conversion into human-readable form of any Site Materials not intended to be so read, including viewing underlying HTML or other code except as interpreted and displayed in a web browser; (c) copying, imitating, mirroring, reproducing, distributing, publishing, downloading, displaying, performing, posting, or transmitting any Site Materials in any form or by any means; (d) collection or use of any product listings or descriptions; (e) making derivative uses of the Site or any Site Materials; or (f) use of any data mining, bots, spiders, scrapers, automated tools, or similar data gathering or extraction methods on the Site Materials or to collect information from the Site or its users.

Except as noted above, no right or license is conveyed to you by implication, estoppel, or otherwise in or under any patent, trademark, copyright, or other proprietary right of Beta Pharmacy or any third party. You may not use meta tags or other “hidden text” utilizing Beta Pharmacy’s name, trademark, or product names without our express written consent.

“Site Materials” means all materials on the Site, including trademarks, designs, product descriptions, HTML and other code, graphics, other files, photographs, software, layouts, forms, and the selection and arrangement thereof.

We may immediately terminate this license and your access to the Site, without notice, if you make or permit any unauthorized use of the Site. Such actions may violate applicable law, including copyright, trademark, and communications laws, and we reserve the right to pursue violators to the fullest extent of the law and to seek recovery of our legal costs.

Changes, Misprints, and Errors

Subject to applicable law, we: (a) reserve the right to change the goods and services advertised or offered for sale through this Site, their prices or specifications, and any promotional offers or other Site Materials, at any time and without notice or liability to you or any other person; (b) do not guarantee that goods or services advertised on this Site will be available when ordered or thereafter; (c) reserve the right to limit quantities sold or made available; (d) do not warrant that the Site Materials, including product descriptions or photographs, are accurate, complete, reliable, current, or error-free; and (e) reserve the right to cancel, terminate, or decline to process any order, including accepted orders, where the price or other material information on the Site is inaccurate. If we decline to process an order for this reason, we will notify you, and either not charge you or apply a credit to the payment method used. Some jurisdictions do not allow the exclusion of certain implied warranties, so some provisions of this section may not apply to you.

Passwords and Security

If you use a password to access this Site or any portion of it, you are responsible for maintaining its confidentiality and for restricting access to your computer or device, and you accept responsibility for all activities occurring under your account or password. If the confidentiality of your account or password is compromised, you must notify Beta Pharmacy immediately. Beta Pharmacy reserves the right to take any action it deems necessary or reasonable to protect the security of the Site and your account, including terminating your account, changing your password, or requesting information to authorize transactions on your account.

Beta Pharmacy may rely on the authority of anyone accessing your account or using your password, and Beta Pharmacy will not be liable to you for any liability or damages resulting from or arising out of: (i) any action or inaction of Beta Pharmacy under this provision; (ii) any compromise of the confidentiality of your account or password; or (iii) any unauthorized access to your account or use of your password.

Intellectual Property

Ownership: All Site Materials are owned by us or others and are protected by Canadian and international copyright, trademark, and other laws. BETAPHARMACY.CA and its respective designs and logos are trademarks or registered trademarks of Beta Pharmacy or its licensors and may not be copied, imitated, or used, in whole or in part, without Beta Pharmacy’s prior written permission. All page headers, custom graphics, button icons, and scripts are the trade dress of Beta Pharmacy and may not be copied, imitated, or used without prior written permission. All other trademarks, registered trademarks, product names, and company names or logos mentioned on the Site are the property of their respective owners.

Restrictions on Use: Except as stated in these Site Terms, no Site Materials or intellectual property described herein may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means without the prior written permission of Beta Pharmacy or the respective owner. You may electronically copy and print portions of this Site solely for your own informational, non-commercial, personal use. Any other use — including commercial use, reproduction for other purposes, modification, distribution, republication, display, or performance — without Beta Pharmacy’s prior written permission is strictly prohibited and may result in termination of your access and legal action.

Software

Any software, including files, images incorporated in or generated by the software, and accompanying data (collectively, “Software”) made available on this Site is licensed to you by Beta Pharmacy on a non-exclusive, limited, revocable basis. Beta Pharmacy retains full and complete title and all intellectual property rights to the Software. You may not copy, distribute, sell, modify, decompile, reverse engineer, disassemble, or create derivative works from any Software.

Links to the Site: You are granted a limited, non-exclusive, revocable right to create a hypertext link to the home page only of this Site, provided such link does not portray Beta Pharmacy or its products or services in a false, misleading, derogatory, or otherwise defamatory manner. This right may be revoked by Beta Pharmacy at any time, for any reason, without notice. You may not frame or use framing techniques to enclose any Beta Pharmacy trademark, logo, or other proprietary information, including images, text content, or page layout/design found on this Site, without Beta Pharmacy’s express written consent. All other linking is prohibited without Beta Pharmacy’s prior written consent.

Third-Party Links: Beta Pharmacy makes no representation and accepts no responsibility for the quality, content, nature, or reliability of websites accessible by hyperlink from this Site, or of websites linking to this Site. Inclusion of any link does not imply endorsement by Beta Pharmacy.

Submissions

Your Information: If you register on the Site, you agree that any information you provide will be current, accurate, and complete, and you agree to promptly update it as necessary.

Additional Submissions: You agree that any materials — including questions, comments, suggestions, ideas, plans, notes, drawings, or other creative materials — that you provide by email, submission to Beta Pharmacy, or posting on this Site (“Submissions”) are non-confidential (subject to our Privacy Policy) and that you remain solely responsible for your Submissions. You grant (and warrant that you have the right to grant) to Beta Pharmacy and its assigns a perpetual, royalty-free, irrevocable, unrestricted, non-exclusive, worldwide, fully sub-licensable and assignable right and license to use, copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit the Submissions and any ideas, concepts, know-how, or techniques contained in them, for any purpose whatsoever, commercial or otherwise, in any media now known or later developed, without compensation, credit, or liability to you, and free of any duty of confidence on our part. Policies and Enforcement: All access to and use of this Site is subject to these Site Terms. We have the right, but not the obligation, to monitor any activity or content on this Site, and to access, review, and use internally for any lawful purpose any information stored on our systems, including the content of emails or other communications sent through the Site. Beta Pharmacy assumes no responsibility or liability for any content posted by you or any third party, or for any errors, defamation, omissions, falsehoods, or objectionable material you may encounter on the Site.

Responsibility for Your Conduct: You remain solely liable for the content of any messages or information you upload or transmit to any discussion forum or interactive area of this Site. You agree to indemnify, defend, and hold harmless Beta Pharmacy and its owners, parents, subsidiaries, affiliates, officers, directors, employees, agents, and representatives from and against any claim, action, demand, loss, liability, or damages, including reasonable legal fees, made or incurred by any third party arising out of or relating to your conduct, your Submissions, your violation of these Site Terms, or your violation of any rights of a third party. Attempted or indirect violations of these Site Terms, and violations committed by a third party on behalf of a user, will be treated as violations by that user.

Children

This Site is designed and intended for use by adults. If you are under 18, you may use this Site only with the involvement and consent of a parent or legal guardian. Parents and legal guardians are responsible for monitoring and supervising use of this Site by any minor in their care and agree to be responsible for that use, including any orders placed.

BETA PHARMACY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT WITH RESPECT TO THE SITE, ITS MATERIALS, CONTENT, SERVICES, AND PRODUCTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BETA PHARMACY, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF PROFITS, OR LOSS OF DATA, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER OR NOT BETA PHARMACY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF, OR INABILITY TO USE, THIS SITE OR ANY MATERIALS CONTAINED IN OR ACCESSED THROUGH IT. THIS LIMITATION APPLIES REGARDLESS OF THE NUMBER OF CLAIMS OR THE THEORY OF LIABILITY, AND IS A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND BETA PHARMACY.

Nothing in this section is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable Canadian federal or British Columbia law, including with respect to gross negligence or wilful misconduct. Some jurisdictions do not allow limitations on implied warranties or the exclusion or limitation of incidental or consequential damages, so some of the above disclaimers, exclusions, or limitations may not apply to you, and you may have rights in addition to those stated here.

Applicable Law, Venue, and Limitation of Actions

These Site Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Regardless of where you access this Site, you agree that any claim or dispute arising out of or relating to these Site Terms shall first be submitted informally to Beta Pharmacy for resolution and, failing informal resolution, shall be resolved by binding arbitration on an individual basis in Burnaby, British Columbia, and not as a class, collective, or representative action, to the extent permitted by applicable law. To the extent any claim is not subject to arbitration, you irrevocably and unconditionally attorn to the exclusive jurisdiction and venue of the federal and provincial courts located in Vancouver, British Columbia. Any claim arising out of or related to your use of the Site must be filed within one (1) year after such claim arose, or be forever barred, to the extent permitted by applicable law.

Termination

Notwithstanding any of these Site Terms, Beta Pharmacy reserves the right, without notice and in its sole discretion, to suspend or terminate your license to use this Site, and to block or prevent your future access to and use of the Site, if you violate these Site Terms or for any other reason or no reason. Upon termination, the provisions of these Site Terms that by their nature should survive — including ownership, disclaimers, indemnification, and limitations of liability — will continue to apply.

Force Majeure

Beta Pharmacy will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disaster, pandemic, labour disputes, supply-chain disruption, act of government, or failure of the Internet or telecommunications infrastructure.

Assignment

Beta Pharmacy may assign, transfer, or delegate these Site Terms and its rights and obligations hereunder, in whole or in part, without notice to you, including in connection with a sale, merger, financing, or transfer of all or part of its business or assets. You may not assign or transfer these Site Terms, or any of your rights or obligations, without Beta Pharmacy’s prior written consent.

Entire Agreement

These Site Terms, together with the Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Beta Pharmacy regarding your use of the Site, and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral, regarding the subject matter herein.

Consent to Email Communication

When you visit this Site or send email to us, you are communicating with us electronically. You consent to receive communications from us electronically, and agree that we may communicate with you by email or by posting notices on this Site, and that such communications satisfy any legal requirement that they be in writing.

Legal Equivalency

This electronic document, and any other electronic documents, policies, and guidelines incorporated herein, will be: (i) deemed for all purposes to be a “writing” or “in writing,” and to comply with all statutory, contractual, and other legal requirements for a writing; (ii) legally enforceable as a signed writing against the parties bound by it; and (iii) deemed an “original” when printed from electronic records established and maintained in the ordinary course of business. Electronic documents introduced as evidence in any judicial, arbitration, mediation, or administrative proceeding will, if established and maintained in the ordinary course of business, be admissible to the same extent as business records in written form similarly established and maintained.

Severability

If any provision of these Site Terms is found to be unlawful, void, or for any reason unenforceable, that provision will be deemed severed from these Site Terms and will not affect the validity or enforceability of the remaining provisions, which will be interpreted to give effect to the parties’ original intent to the greatest extent permitted by law.

Waivers

No waiver, express or implied, by either party of any breach of or default under these Site Terms will constitute a continuing waiver of such breach or default or be deemed a waiver of any preceding or subsequent breach or default. No waiver is effective unless made in writing and signed by an authorized representative of Beta Pharmacy.

No Third-Party Beneficiaries

These Site Terms are for the benefit of you and Beta Pharmacy only, and are not intended to, and do not, confer any rights or remedies on any third party, except that Beta Pharmacy’s owners, officers, directors, employees, agents, and affiliates are intended third-party beneficiaries of the disclaimer, limitation of liability, and indemnification provisions above.

Language

The parties acknowledge having expressly required that these Site Terms and all related policies and terms be drawn up in the English language. Les parties aux présentes reconnaissent avoir expressément exigé que les Conditions et règlements du site ainsi que toutes les politiques et règles s’y rapportant soient rédigées en anglais.
